TokenX Terms of Service

These Terms of Service ("Terms") govern your use of the TokenX application and related services provided by TokenX System ("we", "us", or "our"). By creating an account, starting a free trial, purchasing a subscription, or using TokenX, you agree to these Terms, our Privacy Policy, and our Subscription Terms.

1. Service Description

TokenX is a queue and token management system for businesses. Features may include staff accounts, departments, token generation, announcements, TV displays, reporting, Bluetooth receipt printing, push notifications, and related tools. We may update, modify, or discontinue features with reasonable notice where practicable.

2. Eligibility and Accounts

You must be at least 18 years old (or the age of majority in your jurisdiction) and authorized to bind your organization.
You must provide accurate registration information and keep it up to date.
You are responsible for safeguarding login credentials and all activity under your account.
Each organization account must have an authorized administrator responsible for staff users, subscriptions, and data entered into the system.
You must activate your account via the email link sent after signup before signing in.

3. Acceptable Use

You agree not to:

Use TokenX for unlawful, harmful, fraudulent, or abusive purposes.
Upload content that infringes intellectual property or privacy rights of others.
Attempt to disrupt, reverse engineer, scrape, or gain unauthorized access to our systems.
Bypass subscription, authentication, or security controls.
Share credentials in a way that violates your organization's security policies.
Use the service to send spam or unsolicited communications.

4. Your Content

You retain ownership of company logos, advertisements, and operational data you upload. You grant us a limited, non-exclusive license to host, process, and display that content solely to provide the service. You represent that you have the rights to upload and use such content and that your use complies with applicable law.

5. Subscriptions and Payments

TokenX offers a 3-month free trial per company, followed by a yearly subscription purchased through the Apple App Store, Google Play, or Microsoft Store. Detailed billing terms are in our Subscription Terms, including:

USD $69.99 introductory first-year price (where eligible) and USD $99.99 standard yearly renewal price.
One subscription per company, usable across supported platforms once verified on our servers.
Automatic renewal unless cancelled through your store account.
After the 3-month free trial, purchases are final and non-refundable except where required by law or allowed by the applicable app store's policies.

Prices shown in your local app store at purchase time prevail over list prices stated here.

6. Availability and Support

We strive to keep TokenX available but do not guarantee uninterrupted or error-free service. Maintenance, network issues, device problems, or third-party outages may cause temporary downtime. Support is available at support@rubicsoft.com and through the in-app support form. Support response times are not guaranteed.

7. Termination

You may stop using TokenX at any time. Company administrators may permanently delete their organization account from the app or our account deletion page. We may suspend or terminate accounts that violate these Terms, applicable law, or store policies. Upon termination, your right to use the service ends and we will delete or anonymize data as described in our Privacy Policy, subject to legal retention requirements.

8. Disclaimers

TOKENX IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT TOKENX WILL MEET YOUR REQUIREMENTS, OPERATE WITHOUT INTERRUPTION, OR BE FREE OF ERRORS OR HARMFUL COMPONENTS.

Queue management outcomes depend on your organization's configuration, staffing, customer behavior, and hardware. We are not responsible for wait times, customer disputes, lost revenue, or operational decisions made using the service.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TOKENX SYSTEM AND ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING FROM OR RELATED TO YOUR USE OF TOKENX, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO TOKENX SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID FOR TOKENX THROUGH AN APP STORE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR (B) USD $100, EXCEPT WHERE LIABILITY CANNOT BE LIMITED UNDER APPLICABLE LAW.

10. Indemnification

You agree to indemnify, defend, and hold harmless TokenX System and its affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of TokenX, your content, your violation of these Terms, or your violation of any law or third-party rights.

11. Third-Party Services

TokenX integrates with third-party services including app stores, real-time messaging providers, and platform services. Your use of those services may be subject to separate terms. We are not responsible for third-party services outside our reasonable control.

12. Changes

We may update these Terms from time to time. Material changes will be posted at this URL with an updated date. Continued use after changes constitutes acceptance, except where additional consent is required by law or app store policy.

13. General

Entire agreement: These Terms, the Privacy Policy, and Subscription Terms constitute the entire agreement regarding TokenX.
Severability: If any provision is unenforceable, the remaining provisions remain in effect.
No waiver: Failure to enforce a provision is not a waiver of future enforcement.
Assignment: You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
