TokenX Subscription Terms

These Subscription Terms ("Subscription Terms") supplement the TokenX Terms of Service and Privacy Policy. By starting a free trial, purchasing, or renewing a TokenX subscription, you agree to these Subscription Terms.

1. Subscription Model

Per company: One active subscription covers one organization ("company") and all authorized staff users under that company account.
Cross-platform access: After a valid subscription is linked to your company, users may access TokenX on supported platforms (Android, iOS, Windows, and the web portal) subject to these terms and applicable store or payment-provider rules.
Administrator purchase: Only the designated company administrator may purchase or restore a subscription for the company. Other users must contact the administrator to renew.
One entitlement: A successful payment through the web portal or through an app store activates the same company subscription. You do not need to pay on both channels for the same period.

2. Free Trial

New companies receive a 3-month (90-day) free trial beginning when the company account is activated via the email activation link.
During the trial, eligible users may use TokenX features according to their assigned roles.
When the trial ends without an active paid subscription, access to paid features is suspended until a subscription is purchased or restored.
We may modify or discontinue trial offers in the future. Changes will not reduce a trial already in progress without notice where required by law.

3. Pricing and Billing

Launch introductory price: USD $69.99 for the first year per company (where offered and eligible).
Standard renewal price: USD $99.99 per year per company after the introductory period or for renewals not eligible for the introductory offer.
Prices may vary by country, currency, channel, and app store. The price shown at checkout (web or store) at the time of purchase is the price you pay.
Subscriptions may be purchased through an app store (Apple, Google, or Microsoft) or through the TokenX web portal via Paddle Checkout. We do not store full payment card numbers on TokenX servers; card details are processed by Paddle or the applicable app store.
App store auto-renewal: Store subscriptions renew automatically for successive one-year periods unless cancelled at least 24 hours before the end of the current period through your store account settings. Your store account will be charged for renewal within 24 hours prior to the end of the current period.
Web portal payments: Web checkout charges a one-year company subscription for the listed price. Renewal on the web is initiated by the company administrator when access is due to expire (or earlier if offered).

4. Purchases, Restoration, and Entitlement

Purchases may be made through the in-app subscription on a supported platform or through Paddle Checkout on the TokenX web portal.
After purchase, the subscription is verified by our servers and linked to your company account, unlocking all platforms for that company.
Restore purchase: Company administrators may use "Restore Purchase" on a device signed into the same store account used for the original store purchase. Web Paddle payments are linked to the company account automatically after successful checkout.
If you change administrators, the subscription remains with the company account, not individual users.

5. Refunds and Cancellations

No refund policy: Because TokenX provides a 3-month free trial so companies can fully evaluate the production service before subscribing, all purchases are final and non-refundable once a subscription is purchased or renewed, except where a refund is required by applicable law or granted by the applicable app store or payment provider under its policies.
App store billing, refunds, and cancellations are handled by Apple, Google, or Microsoft according to that store's policies. We do not provide direct refunds for store purchases.
Web portal payments are processed by Paddle. Refund requests for web purchases should be sent to support@rubicsoft.com and will be reviewed under applicable law and our trial-first policy.
Cancelling auto-renewal stops future charges but does not automatically refund the current period. Access generally continues until the end of the paid period.

6. Service Changes and Availability

We may update, modify, suspend, or discontinue features with reasonable notice where practicable. We do not guarantee uninterrupted availability. Temporary outages, maintenance, third-party service failures, or force majeure events may affect access. Subscription fees are not automatically refunded for downtime unless required by applicable law or store policy.

7. Disclaimers

TokenX is provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Queue outcomes depend on your organization's configuration, staffing, and use of the system.

8. Limitation of Liability

To the maximum extent permitted by law, TokenX System and its owners, directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, or business opportunities, arising from or related to your subscription or use of TokenX, even if advised of the possibility of such damages.

Our total aggregate liability for any claim arising out of or relating to the subscription shall not exceed the amount you paid to the applicable app store for TokenX in the twelve (12) months preceding the event giving rise to the claim, or USD $100 if no fees were paid, whichever is greater, except where liability cannot be limited under applicable law.

9. Indemnification

You agree to indemnify, defend, and hold harmless TokenX System and its affiliates from claims, damages, losses, and expenses (including reasonable legal fees) arising from your misuse of the service, violation of these terms, or infringement of third-party rights by content or data you provide.

10. Governing Law and Disputes

These Subscription Terms are governed by the laws applicable to TokenX System as stated in the main Terms of Service, without regard to conflict-of-law principles. You agree to first contact us at support@rubicsoft.com to attempt informal resolution before initiating formal proceedings, where permitted by law.

11. Changes

We may update these Subscription Terms. Material changes will be posted at this URL with an updated date. Continued use after the effective date constitutes acceptance, except where store or law requires additional consent.
